As partner in the Mergers & Acquisitions Group, Frances Mi advises on a broad range of corporate governance-related issues. She advises clients on these topics in the context of M&A and capital markets transactions as well as in activism defense engagements and on an ongoing, non-transactional basis.
In the latter capacity, Frances advises boards of directors, in-house counsel and other members of management on a company’s corporate governance structure and policies, board and committee function and process and related topics.

Frances’ corporate governance experience includes representing many notable companies, including ADP, Apollo Global Management, Avis Budget Group, Bowlero, Carrier Global, Chevron, The Children’s Place, Dana, Etsy, Garrett Motion, General Motors, Red Robin Gourmet Burgers, QXO, Ralph Lauren Corporation, Rocket Companies, RXO and Vertiv Holdings.
Frances’ spin-off experience includes representing:
- General Electric in the spin-off of its healthcare business into a separate publicly traded company
- Honeywell in its spin-off of Garrett Motion
- IBM in the spin-off of its managed infrastructure services business into a separate publicly traded company
- XPO Logistics in the separation of its tech-enabled brokered transportation services from its LTL business in North America, to create two separate publicly traded companies
Frances’ initial public offering experience includes representing:
- Clear Secure in its $470 million initial public offering
- HireRight Holdings Corp. in its $420 million initial public offering
- Latham Group in its $437 million initial public offering
- Rocket Companies in its $2 billion initial public offering
- Savers Value Village in its $461 million initial public offering
Frances’ activism defense experience includes representing:
- The Children’s Place in its proxy contest with Barington Companies Equity Partners and Macellum SPV II
- Crown Castle in the activist campaign by Elliott Management and its successful proxy fight against Boots Capital
- Exelixis in its proxy contest against Farallon Capital Partners
